Introduction

Welcome to Rezyt (hereinafter referred to as “we,” “us,” “our,” or “the Platform”). Rezyt operates as a dedicated discovery platform for new product and service offerings from Product Owners, Service Owners, Businesses, Retailers, and Franchisees (collectively referred to as “Brands”). Consumers (“Users,” “you,” or “your”) can download the Rezyt mobile application on iOS or Android devices, register, and explore curated listings of new products and services across various categories. These Terms of Use govern the relationship between Rezyt and anyone who accesses, browses, or uses the Platform, whether as a Consumer or a Brand.

Please read these Terms of Use carefully before using Rezyt. By accessing or using the Platform, you agree to be bound by these Terms. If you do not accept or agree with any part of these Terms, you must immediately discontinue your use of the Platform.

2. Definitions

1. “Rezyt” or “Platform”
   Refers to the Rezyt mobile applications (iOS, Android) and any associated websites or web services through which Rezyt operates.
2. “User” or “Consumer”
   Any individual who downloads and registers on Rezyt to explore product or service offerings. Users do not make purchases on the Platform; any desired purchase is completed on external websites provided by Brands.
3. “Brand”
   Any Product Owner, Service Owner, Business, Retailer, or Franchisee who registers on Rezyt to showcase or list new offerings (products/services). This includes the entity’s representatives, employees, affiliates, or agents authorized to act on its behalf.
4. “Listing” or “Offering”
   Any product or service uploaded or showcased by a Brand on Rezyt for the purpose of marketing, promotion, or awareness.
5. “Admin”
   Personnel or accounts authorized by Rezyt with the highest-level privileges on the Platform. The Admin can verify, modify, or remove content and handle various managerial tasks.

3. Eligibility and Scope

1. Eligibility:
• User (Consumer) Eligibility: You must be at least 18 years old (or the age of majority in your jurisdiction) to register as a User.
• Brand Eligibility: You must be a legitimately registered or recognized business entity able to provide valid corporate documents, email addresses, and (if required in your jurisdiction) a valid GSTIN to list and promote your offerings on Rezyt.
2. Geographic Scope: You acknowledge that the Platform may not be accessible or appropriate for use in all geographical locations. You are responsible for compliance with local laws in your jurisdiction.
3. Acceptance of Terms: By registering and accessing Rezyt, you confirm that you meet the eligibility requirements and that you will abide by all conditions set forth in these Terms of Use.

4. Account Registration

4.1 User (Consumer) Registration

1. Personal Information: When creating a User account, you must provide accurate and complete information, including but not limited to your name, age, mobile number, location, and gender.
2. Accuracy and Updates: You are responsible for maintaining the accuracy of your registration data. If any information changes, you must promptly update your account details in the Platform settings.
3. One Account: Each User is allowed to maintain only one account. Rezyt reserves the right to terminate or suspend multiple accounts suspected to be created by the same individual.
4. Security: You are responsible for maintaining the confidentiality of your account credentials. You must promptly notify Rezyt of any unauthorized use or breach of security.

4.2 Brand Registration

1. Verification Requirements:
• Official Email & Documents: Brands must submit a valid corporate or official email address, as well as business registration documents for verification (e.g., certificate of incorporation, partnership deeds, or appropriate government-issued licenses).
• GSTIN (as applicable): Brands operating in jurisdictions that require a Goods and Services Tax Identification Number must provide a valid GSTIN for tax invoicing.
2. Honest Representation: By registering, the Brand warrants that all details provided (such as ownership, corporate identity, or GSTIN) are accurate and up-to-date.
3. Multiple Ads: Brands may upload multiple product or service offerings under a single channel registration, provided all listings comply with Rezyt’s guidelines.

5. Platform Usage

5.1 For Users (Consumers)

1. Non-Purchase Nature: You understand and acknowledge that Rezyt does not process or facilitate purchases. Should you wish to buy a product or service advertised on the Platform, you will be redirected to an external website or e-commerce platform, and all subsequent purchases or transactions are governed by that external site’s terms.
2. Limited License: Subject to these Terms, Rezyt grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for personal.
3. Prohibited Conduct: You agree not to:
• Upload or transmit any malicious code or engage in any fraudulent or harmful activity.
• Interfere with or disrupt the functioning of the Platform or the servers and networks used to make the Platform available.
• Attempt to bypass any security mechanism.
• Violate any local, state, national, or international laws in connection with your use of Rezyt.

5.2 For Brands

1. Compliance with Listing Requirements:
• Latest Offerings: Each Brand must ensure that offerings are not older than 90 days if presented as “new.” Any offering exceeding that duration or found to be outdated or misleading may be subject to removal by the Admin.
• Prohibited Content: Brands must refrain from uploading material that is fraudulent, infringing upon intellectual property rights, or violating any law or regulation.
2. Platform Fees and Payments:
• Mandatory Fees: After successful verification, Brands must pay the applicable Platform fee upfront to list or showcase their offerings.
• Priority Placement: Brands can opt to pay beyond the minimum fee for a higher listing priority. The resulting ranking is determined solely by Rezyt’s automated algorithm. No manual override is permitted to ensure fairness.
• Transaction Charges: Brands accept responsibility for all payment transaction fees charged by Rezyt’s payment partners.
3. Accuracy of Listings: Brands are obliged to provide precise, up-to-date information regarding their product or service offerings, including images, descriptions, launch dates, and pricing details (if shown).
4. Brand Conduct: You agree not to:
• Upload deliberately false or deceptive claims.
• Impersonate another entity or conceal your business identity to mislead Users.
• Infringe any third-party rights (including intellectual property or publicity rights).

6. Content Guidelines

1. User-Generated Content: All text, images, or other materials posted by Users or Brands on Rezyt are considered user-generated content. You represent and warrant that you have all rights, licenses, and permissions to post such content.
2. License to Rezyt: By posting content on Rezyt, you grant Rezyt a India, non-exclusive, royalty-free license (with the right to sublicense) to store, display, reproduce, adapt, and distribute such content for the purpose of operating, marketing, or improving the Platform.
3. Prohibited Content: You may not upload or disseminate content that:
• Violates any applicable law or regulation.
• Is defamatory, obscene, or promotes hatred or violence.
• Contains viruses, trojans, or malicious code.
4. Monitoring and Removal: Rezyt reserves the right to monitor, edit, or remove user-generated content that violates these Terms, is inaccurate, or is deemed harmful to the Platform’s operations or reputation.

7. Intellectual Property

1. Platform Ownership: Rezyt (including its logo, design, features, and functionality) is the exclusive property of Rezyt or its licensors. These Terms do not transfer any ownership rights in Rezyt or its underlying intellectual property to you.
2. Brand Trademarks & Materials: Brands retain ownership of their respective trademarks, logos, and marketing materials. By uploading these to Rezyt, Brands grant Rezyt a limited license to display them on the Platform, subject to these Terms.
3. Infringement Claims: If you believe any user-generated content on Rezyt infringes your intellectual property rights, you must promptly notify Rezyt with relevant details. We will investigate such claims and take appropriate actions, including removal of offending materials or termination of accounts.

8. Admin Rights and Platform Management

1. Verification: The Admin may verify the authenticity and details of any Brand channel, set or modify the listing’s launch date, upload date, or expiry date for consistency, or remove suspicious content.
2. Modifications: The Admin can modify any aspect of the Rezyt Platform, including user interface elements, features, or content presentation.
3. Analytics: The Admin has access to platform-wide analytics and usage statistics to ensure compliance, detect fraudulent activities, and maintain service performance.
4. Data Visibility: Brands can view analytics related to their specific offerings (e.g., number of views, clicks, or conversions). Rezyt does not share personally identifying information of Users with Brands, unless explicitly permitted by Users or required by law.

9. Disclaimers and Limitation of Liability

1. No Direct Sales: Rezyt only provides a platform for discovery. All purchases or transactions occur on external sites. Rezyt is not liable for any dispute, return, refund, or defect claim related to the product or service purchased on an external platform.
2. As-Is Basis: You understand and agree that the Platform is provided on an “as-is” and “as-available” basis without any guarantee or warranty of any kind, either express or implied. Rezyt disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage.
3. Listing Accuracy: While we strive to ensure Brands offer accurate, up-to-date information, Rezyt is not responsible for verifying or guaranteeing the accuracy or reliability of any content or materials posted by Brands.
4. Technical Issues: Rezyt does not warrant that access to the Platform will be uninterrupted, error-free, or secure. We may temporarily suspend or restrict access for maintenance, upgrades, or other reasons.
5. Limitation of Liability: To the fullest extent permitted by law, Rezyt shall not be liable for any indirect, incidental, consequential, special, or punitive damages, nor for any damages related to lost profits, data loss, or goodwill. Rezyt’s total liability for all claims under these Terms shall not exceed the total amounts received from you in the twelve (12) months preceding the event giving rise to liability, or INR [amount], whichever is lesser.

10. Indemnification

You agree to defend, indemnify, and hold harmless Rezyt, its officers, directors, employees, affiliates, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in connection with:

1. Your breach of these Terms.
2. Your violation of any law or regulation.
3. Your uploaded content or User-Generated Content.
4. Any fraud or misrepresentation you commit.
5. Any claim that your content causes damage to or infringes the rights of a third party.

11. Payment Terms for Brands
12. Payment Processing Timeline:

• All payments made by Brands to Rezyt (including platform fees or priority placement fees) are processed through payment partners, and the timing of each completed transaction may vary according to the partner’s internal processes and policies.

2. No Consumer Payments or Refunds:

• Consumers do not pay any amount directly to Rezyt. As a result, they are not entitled to any refund from Rezyt because no transactions occur between Consumers and Rezyt.

3. No Brand Refunds:

• Brands pay an upfront fee to list or promote their offerings. These fees are non-refundable once processed. Brands acknowledge that Rezyt does not provide refunds for any reason, including but not limited to changes in business strategy, early removal of listings, or dissatisfaction with listing performance.

4. Platform Fee:

• Brands are required to pay the applicable platform fee in advance when submitting new listings to Rezyt. Failing this, no offering will be publicly visible.

5. Priority Placement:

• Brands may opt to pay an amount exceeding the required minimum to seek priority in listing displays. This rank is automatically determined by Rezyt’s algorithm; no human override is allowed, ensuring fairness and transparency.

6. Transaction Charges:

• Any transaction fees charged by third-party payment processors are borne by the Brand. Rezyt does not handle or store full payment card details but may receive transaction confirmations for record-keeping and invoicing.

7. Invoices & Taxation:

• GST Compliance: Where applicable, tax invoices (with GSTIN) will be generated for Brand payments.
• Record Retention: Brands must maintain their own records of these invoices for tax compliance.

12. Termination and Suspension

1. Termination by You: You may terminate your account at any time by deleting it via the Platform’s account settings or by contacting Rezyt support.
2. Termination by Rezyt: We may suspend or terminate your account if we suspect or detect:
• Violation of these Terms or any additional policy.
• Fraudulent or unlawful behavior.
• Deliberate attempts to undermine the Platform’s integrity.
3. Effect of Termination: Upon termination, your right to access the Platform ceases immediately. Rezyt may retain limited personal or listing data in backup systems, or as otherwise required by law, for a reasonable period.

13. Privacy and Data Protection

1. Privacy Policy: Your use of the Platform is also governed by our Privacy Policy, which is incorporated by reference into these Terms. By using Rezyt, you agree to our data collection, usage, and sharing practices as described in our Privacy Policy.
2. Data Access: Rezyt may share aggregated or anonymized analytics regarding brand performance with the concerned Brand. Rezyt does not sell or trade personal data of its Users.
3. User Controls: Consumers can delete their accounts at will, thereby removing or anonymizing personal data from active systems. Brands, likewise, can request account deletion and must comply with any record-keeping obligations under local laws.

14. Modification of Terms

Rezyt reserves the right to update or amend these Terms at any time to reflect changes in our business model, technical operations, or legal obligations. We will notify you of any significant changes, either by posting a notice within the Platform or through other appropriate channels. Your continued use of Rezyt after such changes have been posted constitutes your acceptance of the updated Terms.

15. Third-Party Links

The Platform may contain links to third-party websites or services owned or operated by Brands or other entities. Rezyt does not endorse nor assume any responsibility for the content, privacy policies, or practices of these external sites. You acknowledge and agree that Rezyt is not responsible or liable, directly or indirectly, for any damage or loss caused by use of or reliance on content or services available on these external sites.

16. Governing Law and Dispute Resolution

These Terms of Use and any dispute arising out of or related to them or the Platform shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. All disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Gurugram, Haryana, India.

17. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Rezyt disclaims all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Rezyt does not warrant that the Platform will be free of errors, viruses, or other harmful components, or that any defects will be corrected.

18. Limitation of Liability

1. Exclusion of Certain Damages: Rezyt, its directors, officers, employees, or affiliates shall not be liable for any indirect, special, incidental, or consequential damages under any theory of liability.
2. Aggregate Liability Cap: Under no circumstances shall Rezyt’s total liability for all claims exceed the amount of fees you have paid to Rezyt in the twelve (12) months preceding any claim, or INR [amount], whichever is lesser.

19. Force Majeure

Rezyt shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, or shortages of transportation facilities, fuel, energy, labor, or materials.

20. Severability

If any provision of these Terms is held by a court of competent jurisdiction to be unlawful, void, or unenforceable, the remaining provisions of these Terms shall remain in full force and effect.

21. No Waiver

Rezyt’s failure to exercise or enforce any right or provision under these Terms shall not operate as a waiver of such right or provision. Any waiver must be in writing, signed by an authorized representative of Rezyt.

22. Entire Agreement

These Terms of Use, together with our Privacy Policy and any other additional guidelines or rules referenced herein, constitute the entire agreement between you and Rezyt regarding the subject matter addressed. They supersede all prior or contemporaneous oral or written communications, proposals, and representations with respect to your use of the Platform.
